Terms of Use and Conditions

1. ABOUT THE PLATFORM AND SERVICES

1.1. Definitions

For purposes of these Terms of Use, the following definitions apply:

"Floripi.com": specialized digital agency that provides solutions in technology, marketing, and multimedia. Floripi.com provides services directly to the Client and is solely responsible to the Client for all services provided. Floripi.com may use specialized third parties when necessary to execute some tasks, but remains as the sole and full party responsible to the Client.

"Client": individual or legal entity that contracts Floripi.com for digital services (websites, videos, marketing, SEO, subtitles, IT, etc.).

"Services": any service provided by Floripi.com, including:

  • Website creation and management plans on a subscription model (SaaS)

  • Services by the hour or by project (video, marketing, SEO, subtitles, IT, etc.)

By using the website or contracting any service, the Client declares that they have read, understood, and fully accept these Terms.

1.2. Acceptance of Terms

Access to the Floripi.com website, filling out forms, creating an account, contracting any plan or service, and payment of any amount imply full and unrestricted acceptance of these Terms, as well as Floripi.com's specific policies (Subscription and Pricing Policy, Refund Policy, Privacy Policy, etc.).

If the Client does not agree with any of the terms provided herein, they should not use the website or contract services.

1.3. Nature of Floripi.com's Operations

Floripi.com acts as a comprehensive digital services provider, responsible for organizing, planning, executing, and delivering the services contracted by the Client.

Floripi.com is the sole and full party responsible to the Client for all services provided. The company may use specialized third parties when there is technical necessity, but the contractual relationship and commercial and technical responsibility remain entirely between the Client and Floripi.com.

1.4. Types of Services

1.4.1. Website Plans (SaaS & WaaS)

The website creation and management plans (Personal Website, MEI Partner Plan, Business Website, and E-commerce - Startup, Micro, Prime) are annual subscription services with monthly payment, as detailed in Floripi.com's Subscription and Pricing Policy.

These plans may include:

  • Website creation and configuration

  • Hosting

  • Maintenance and basic updates

  • Technical support

  • Essential technical website management

  • Additional features according to the contracted plan

Specific conditions (loyalty period, promotional values, actual values, cancellation deadlines, and recalculation) are described in the proper contractual policy, which is part of these Terms.

1.4.2. Services by the Hour or by Project

In addition to website plans, Floripi.com offers:

  • Video editing and creation

  • Multimedia content production

  • Digital marketing services and campaigns

  • SEO services (by the hour or by project)

  • Translation, subtitles, and captions

  • Consulting and IT solutions by the hour

  • Other digital services described in specific proposals

Service execution: All projects and services are executed under the full responsibility of Floripi.com. These services do not follow, by default, the annual subscription model; they are contracted by the hour or by closed project, with scope, deadlines, deliverables, and values defined in a proposal approved by the Client.

2. RELATIONSHIP BETWEEN CLIENT AND FLORIPI.COM

2.1. Floripi.com's Responsibility

Floripi.com is the sole and full party responsible for all aspects of the relationship with the Client: receives the demand, presents the proposal, executes the work, and organizes the final delivery.

Comprehensive Responsibility:

Floripi.com assumes full commercial and technical responsibility to the Client for all services provided, including the application of its warranty policy provided in clause 2.3. The Client maintains a contractual and commercial relationship exclusively with Floripi.com.

Limitations of Liability:

Floripi.com is not responsible for direct or indirect damages caused by events outside its reasonable control (external providers, payment platforms, hosting services, etc.), within the warranty limits established in these Terms.

In any case, Floripi.com's global liability remains limited under the terms of clause 3.1.

2.2. Client Obligations

The Client acknowledges that they are contracting a professional service and commits to:

  • Provide information, materials, files, and access necessary for project execution

  • Respond to approval and feedback requests within a reasonable timeframe

  • Review deliveries within warranty periods and point out any adjustments objectively

  • Not use the services for illegal purposes or that violate third-party rights

  • Not attempt to circumvent payments or arrange unofficial conditions

  • Maintain the confidentiality of their access data and not share it with third parties

2.3. Floripi.com Warranty – Website Plans (30 days) and Project Services (7 days)

a) Website creation and management plans (SaaS)

For website plans (Personal Website, MEI Partner Plan, Business Website, and E-commerce), Floripi.com offers:

  • Period of up to 30 (thirty) calendar days from subscription activation and first website publication for the Client to request cancellation due to dissatisfaction

  • In case of cancellation within this period, Floripi.com may, at its discretion, cancel the subscription and refund amounts paid to date, disconnecting the website and terminating the service

After 30 days:

  • The service is considered used and accepted

  • There is no right to full refund

  • The contractual loyalty and cancellation conditions provided in the Subscription and Refund Policy remain in effect

Note: this 30-day warranty is valid for the first plan contract. Renewal or new specific customizations may have their own conditions agreed upon in a proposal.

b) Services by the hour or by project (video, marketing, SEO, translations, IT, etc.)

For services contracted by the hour or by project, Floripi.com offers limited warranty:

  • The Client will have up to 7 (seven) calendar days from delivery of the first complete version to open a formal complaint, if:

    • The service was not delivered

    • The delivery is clearly outside the agreed scope

    • Serious problems are not corrected within a reasonable timeframe after request

In these cases, Floripi.com may, at its sole discretion:

  • Perform additional adjustments and corrections

  • Replan part of the delivery

  • Or refund the Client up to the amount actually paid for the service in question, closing the case

After 7 days:

  • The service is considered accepted

  • Any extra changes may be treated as additional service, with new budget

2.4. Revisions and Project Scope

Unless otherwise indicated in specific contract/proposal:

  • Each project includes a limited number of revisions (for example, up to 2 rounds)

  • Significant scope changes, new functionalities, or concept changes after initial approval will be charged separately, according to hourly rate table or new budget

The lack of adequate briefing or Client responses within agreed timeframes may generate delays and additional costs, for which Floripi.com is not responsible.

2.5. Prohibited Use

It is expressly prohibited to use Floripi.com's services for:

  • Illegal, fraudulent activities, or activities that violate third-party rights

  • Distribution of malware, spam, or offensive content

  • Violation of copyrights or intellectual property

  • Attempted invasion, reverse engineering, or unauthorized access to systems

  • Unauthorized resale of Floripi.com's services

  • Publication of content that promotes hatred, discrimination, violence, or any other harmful content

In case of detection of prohibited use, Floripi.com may suspend or terminate services immediately, without refund, and take appropriate legal measures.

3. LEGAL PROVISIONS, LIABILITY, AND TERMINATION

3.1. Limitation of Liability

Floripi.com will make reasonable efforts to maintain its services stable, secure, and available. However, the company is not responsible for:

  • Failures, interruptions, or slowdowns caused by hosting providers, internet, DNS, email, payment gateways, or other third parties outside its direct control

  • Financial losses, sales drops, reputation damage, data loss, or any indirect damages arising from use of the services

  • Delays or impacts resulting from lack of response, late submission of materials, or scope changes by the Client

  • Events outside Floripi.com's control, such as force majeure, fortuitous events, pandemics, natural disasters, wars, large-scale cyberattacks, systemic failures of third-party providers, or any event outside its reasonable control

Maximum Liability Limit:

In any case, if any liability of Floripi.com is recognized, the maximum amount due will be limited to the amount actually paid by the Client to Floripi.com for the service directly related to the event that generated the complaint, except in cases of proven intentional misconduct or gross negligence.

This limitation does not apply to inalienable rights provided in the Consumer Protection Code (CDC).

3.2. Intellectual Property

All technical content of Floripi.com (codes, layouts, institutional texts, workflows, systems, and documentation) is the exclusive intellectual property of Floripi.com.

The Client receives only the right to use the contracted services and results, not acquiring:

  • Access to source code of systems

  • Right to resell, copy, or modify Floripi.com's platforms

  • Right to reuse internal components in other projects without express authorization

Portfolio Use Rights:

By contracting services, the Client grants Floripi.com a non-exclusive, free, and perpetual license to use completed projects in institutional promotional materials, unless expressly requested otherwise in writing.

In completed projects (websites, videos, graphic materials, etc.), unless otherwise agreed, Floripi.com may use versions of the work in its portfolio, sales presentations, and institutional pieces, without exposing sensitive Client data.

3.3. Suspension and Termination

Floripi.com may suspend or terminate the Client's access to services, partially or totally, in case of:

  • Default

  • Improper or illegal use of services

  • Violation of these Terms or any internal policies

  • Suspicion of fraud or abuse

  • Compliance with court order or legal obligation

Prior Notice:

Suspension will be preceded by prior notice of 5 (five) business days, except in cases of urgency, proven fraud, or court order.

Service termination does not exempt the Client from payment of amounts already due.

3.4. Changes to Terms

Floripi.com may update these Terms of Use at any time, for legal, technical, or commercial reasons.

In case of relevant changes, the Client may be notified by email, notice on the website, or in the Client area.

Continued use of services after communication of changes implies acceptance of the new conditions.

3.5. Alternative Dispute Resolution

Before resorting to the Judiciary, the parties commit to attempting an amicable solution through mediation or conciliation chamber, for up to 30 (thirty) days. This saves time and costs for both parties and reinforces good faith.

3.6. Applicable Law and Jurisdiction

These Terms are governed by the laws of the Federative Republic of Brazil.

The jurisdiction of the district of Florianópolis/SC is elected, with waiver of any other, however privileged it may be, to resolve any disputes arising from these Terms.

3.7. Data Protection

Floripi.com processes personal data in compliance with the General Data Protection Law (LGPD - Law 13.709/2018). For details, see our Privacy Policy.

3.8. Official Communications

All official communications between Floripi.com and Client will be made via registered email. The Client is responsible for keeping their contact information updated.
